Context & Environment

The GRP Branch's mission is to make the Company a leader in low-carbon energy (gas, including green gases, electricity, and renewable energies). It develops its activities across a wide range of sectors, some of them highly innovative, within a complex international environment involving the Branch's companies, subsidiaries, and operations wherever they are established.

The development of projects and the creation of strategic equity partnerships are two fundamental activities supporting the implementation of the Branch's strategy. This orientation requires strong legal support within the process of integration and corporate governance of newly acquired subsidiaries integrated into the GRP Branch, particularly regarding corporate law matters.

Within a legal team of approximately 9 people and under the authority of the Head of Department, the incumbent:

  • Ensures the legal and corporate management and monitoring of French entities within their scope;
  • Supports acquisition transactions and the implementation of appropriate corporate structures;
  • Provides advice and coordination on all matters of French corporate law arising from the activities of the GRP Branch, both in France and internationally, for the benefit of all GRP operational departments.

Activities

Corporate Legal Support for Subsidiaries

  • Management and legal/corporate monitoring of French companies, including routine and exceptional operations: maintenance of corporate registers, company incorporations, liquidations and dissolutions, drafting of minutes, approval of annual accounts, amendments to articles of association, changes in management, capital increases and reductions, etc.
  • Execution of intra-group transactions: mergers, partial asset contributions, universal transfer of assets and liabilities, and corporate reorganizations.
  • Support in the context of intra-group M&A transactions (SPA, SHA).
  • Drafting and monitoring of intra-group agreements.
  • Coordination and follow-up of corporate governance matters for foreign subsidiaries; acting as the main point of contact and providing support to corporate lawyers abroad.
  • Implementation of general and specific delegations of authority.
  • Updating of the Group's corporate entity database.
  • Monitoring legal developments in corporate law.

Disputes and Claims

  • Provide legal support for disputes and/or claims management in connection with merger and acquisition projects.

Legal Tools and Policies

  • Ensure compliance with TotalEnergies SE legal and corporate policies.
  • Act as liaison and foster cooperation with the business line (GRP) and TotalEnergies SE.
  • Contribute to the development of training materials and guidelines for operational teams.
  • Contribute to the development of appropriate tools to support the activity (templates, guidelines, know-how improvement, document management systems, etc.).
  • Oversee the selection, use, quality, and cost of external legal advisors and corporate secretarial service providers.
  • Promote and implement a culture of compliance and integrity.
  • Contribute to the effective management of the legal entities within their scope of responsibility.

Candidate Profile

Holding a Master's degree (Master 2) in Business Law, ideally complemented by a specialization in Corporate Law, you have at least 2 years of professional experience acquired within an in-house legal department and/or a law firm.

  • Postgraduate degree / Master's degree in Business Law;
  • Required language skills: English and French as working languages;
  • Required experience: minimum 6 years of experience. Previous law firm experience is appreciated;
  • Ability to work autonomously in a demanding environment;
  • Strong drafting and legal writing skills;
  • Attention to detail and strong analytical and summarization skills;
  • Team spirit and excellent interpersonal skills in a multicultural environment;
  • Ability to adopt a business partner approach in supporting the company.
