Discover the Role

As a Senior Legal Officer, you will be responsible for the day-to-day management of a diverse portfolio of private equity and corporate structures. You will act as a key contact for clients and advisors, oversee corporate governance and transactional matters, ensure compliance with legal and regulatory requirements, and play an active role in supporting and developing junior colleagues.

Key Responsibilities

  • Act as the primary point of contact for clients on all corporate and legal administration matters.
  • Manage a portfolio of private equity and corporate clients and maintain strong client relationships.
  • Oversee the full lifecycle of client entities, from incorporation to liquidation.
  • Prepare and coordinate legal and corporate documentation, including board and shareholder resolutions, service agreements, share transfers, loan agreements, and amendments to constitutional documents.
  • Organize and attend board and shareholder meetings, including the drafting of meeting minutes.
  • Coordinate corporate transactions such as capital increases, dividend distributions, loan facilities and share transfers.
  • Liaise with clients, external counsel, notaries, regulators, and other third parties.
  • Ensure all client entities remain in good legal standing and comply with applicable legal and regulatory requirements.
  • Manage KYC and AML processes, including onboarding, client acceptance, and periodic reviews.
  • Support and mentor junior team members.

Key Requirements

  • 5-8 years of experience in a trust company, corporate services provider, or law firm.
  • Degree in Law, LLM, or equivalent legal qualification, preferable with a focus on Corporate Law.
  • Fluency in English ; additional languages are considered an advantage.
  • Strong organizational, analytical, and problem-solving skills.
  • Excellent communication and stakeholder management abilities.
  • Ability to manage multiple priorities and work effectively in a deadline-driven environment.
  • Proactive, detail-oriented, and capable of taking ownership of responsibilities.
  • Collaborative team player with the ability to work independtely when required.
