Job Purpose: This role is responsible for managing and optimizing the legal structural framework of the organization by managing contracts, performing legal research, maintaining of MIS for ongoing cases, and providing due diligence for M&A activities.

JOB RESPONSIBILITIES

Lead Transactions and Contracts

Contract Management:

Draft, vet, and negotiate contract clauses, amendments, and Memorandum of Understanding (MOUs), ensuring legal compliance and protection of the company’s interests.

Create standardized contract templates and forms to streamline the legal documentation process across the company.

Engage in ongoing evaluation and refinement of contract management tools and methodologies to enhance legal operations and compliance.

Advocate for best practices in contract negotiations, upholding the company's legal and business standards while effectively managing third-party interactions.

Legal MIS and Case Oversight:

Compile detailed records of active legal cases, integrating data from multiple sources and verifying accuracy prior to presentation to management.

Utilize case management tools offering prompt updates and tracking case progress. For e.g. Provakil.

Ensure thorough legal support and risk assessment for all significant business transactions.

Provide robust reporting mechanisms for legal activities, faithfully rendering the state of affairs to stakeholders and ensuring visibility and traceability in case management.

Lead efforts to capture and disseminate key milestones and developments within ongoing cases, centralizing data within the organization's legal framework.

Due Diligence Coordination and M&A Analysis:

Conduct and oversee the entire due diligence process for M&A transactions, evaluating ongoing case implications and financial impacts of prospective deals.

Collaborate with external legal firms to inspect and endorse resolution plans, ensuring comprehensive risk assessment and mitigation in M&A transactions.

Analyze and critique Expression of Interest (EOI) documents related to Insolvency and Bankruptcy Code (IBC) , providing comments and seeking any necessary clarifications.

Supply the Business Development team with extensive due diligence reports to support strategic decision-making in investment and acquisition pursuits.

Investigate new legislative developments and their bearings on the company's legal commitments and potential dealings, incorporating these findings into strategic planning.

Risk Management and Legal Advisory:

Foresee legal risks in the company’s operations and deliver strategic advice to avert potential issues and foster safe, compliant business practices.

Support the structuring of critical business deals, ensuring legal accuracy and adherence to corporate strategies and goals.

Provide legal opinions to internal teams and business units, fostering informed decision-making on various corporate matters.

Maintain up-to-date knowledge of legal risk mitigation strategies, particularly relating to the tendering process and significant business dealings.

Legal Research and Technological Enhancement:

Execute detailed legal research utilizing technology to inform on various legal case decisions, maintaining a proactive stance toward legal inquiry and analysis. For e.g.Manupatra

Spearhead the implementation and management of innovative legal technologies to elevate data management, ensuring efficient storage, retrieval, and analysis capabilities for the legal team. For e.g. Provakil

Champion the adoption of sophisticated MIS frameworks to oversee legal operations, aiming to enhance the management, review, and analytics of legal matters across the organization.

Contract Management

  • Draft, review, vet, and negotiate commercial agreements, contracts, MoUs, NDAs, service agreements, and other legal documents.
  • Ensure contractual compliance and mitigate legal risks associated with business transactions.
  • Maintain and manage contract repositories and related documentation.

Legal Research & Advisory

  • Conduct legal research on corporate, regulatory, commercial, and business-related matters.
  • Provide legal opinions and support to internal stakeholders on operational and strategic issues.
  • Monitor changes in applicable laws and regulations and assess their impact on the organization.

Litigation & Case Management

  • Maintain MIS and trackers for ongoing litigation, arbitration, and legal proceedings.
  • Coordinate with external counsels and internal stakeholders for case management.
  • Track case status, legal notices, responses, and regulatory submissions.

Compliance & Governance

  • Support compliance with applicable corporate, statutory, and regulatory requirements.
  • Assist in the implementation of legal policies, procedures, and governance frameworks.
  • Maintain records and documentation required for audits and regulatory inspections.

Mergers & Acquisitions (M&A)

  • Conduct legal due diligence for mergers, acquisitions, joint ventures, investments, and other strategic transactions.
  • Identify legal risks and provide recommendations for risk mitigation.
  • Support transaction documentation, negotiations, and closing activities.

Educational Qualification:

Bachelor's Degree (Law) Bar Council of India accreditation (optional), Additional Degrees or Certifications (Corporate Law, M&A) preferred

Work Experience (Range of years):

Minimum 4 years of experience in corporate law with exposure to contract drafting and M&A procedures.

Preferred Industry:

Background of working in legal department within power or energy sector and having knowledge of industry specific laws and regulations including international laws.
